Clarien Bank moves to acquire NCB’s Cayman operations

Clarien Bank Limited, a majority-owned subsidiary of National Commercial Bank Financial Group (NCBFG) Limited, is making moves to acquire NCB (Cayman) Limited.

Its aim is to consolidate its offshore banking and wealth management operations under a single Cayman Islands platform.

The intra-group transaction requires regulatory approval from Cayman authorities and will see NCB (Cayman) Limited rebranded under the Clarien name upon completion.

In a NCBFG press release on 2 February, Clarien Bank CEO Ian Truran said the acquisition supports the bank’s selective expansion strategy.

“This marks an exciting new chapter for Clarien and supports our strategy to expand thoughtfully within high quality offshore markets,” he said.

The bank is focused on delivering a seamless transition for clients and staff from NCB (Cayman) Limited and NCB Capital Markets (Cayman) Ltd.

Selected wealth and investment management client relationships from NCB’s Cayman operations will transition to Clarien in a process designed to minimise disruption.

The action will simplify the bank’s operating model by consolidating related banking and wealth activities within a unified platform.

Robert Almeida, group chief executive officer of NCB Financial Group, described the transaction as “a deliberate strategic internal realignment designed to strengthen focus and operational coherence across our regional businesses”.

NCBFG currently owns a 50.10% stake in Clarien Bank Limited and Almeida said the transaction will not materially impact capital adequacy, liquidity or ownership structure within the group.

The acquisition comes amid ongoing changes to NCBFG’s relationship with Clarien, including a previous agreement in June 2024 to sell 30.20% of Clarien Group Limited to Cornerstone Financial Holdings Limited, which would have reduced NCBFG’s ownership to 19.90%.

That agreement expired in May 2025 without completion after the parties chose not to extend the arrangement.

Separately, NCBFG disclosed in June 2025 its expectation to acquire an additional 17.92% stake in Clarien Group Limited from private equity funds under an existing agreement, which would increase its ownership to 68.02% if completed.

The timing of that transaction remains unconfirmed, though NCBFG indicated it would not materially impact financial performance.

Existing client relationship teams will continue serving customers throughout the transition, with no anticipated disruption to day-to-day banking operations in the Cayman Islands.

The transaction requires regulatory approval from the Cayman Islands Monetary Authority.
